We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time.

3. User Accounts

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must notify us immediately of any unauthorized use of your account.
• You may not share your account with others or allow multiple users to access a single account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

• Use the Services only for lawful purposes and in accordance with these Terms.
• Provide accurate information and keep your account information current.
• Respect the intellectual property rights of SMPLR HOA and third parties.
• Not attempt to gain unauthorized access to any part of the Services.
• Not interfere with or disrupt the Services or servers connected to the Services.
• Not use the Services to transmit spam, malware, or other harmful content.
• Not use automated means to access the Services without our express permission.

5. Payment Terms

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as expressly stated in these Terms. We may change our fees upon 30 days' notice. Failure to pay fees may result in suspension or termination of your access to the Services.

6. Data and Content

You retain ownership of all data and content you submit to the Services ("Your Content"). By submitting Your Content, you grant us a license to use, store, and process it as necessary to provide the Services. You are responsible for ensuring that Your Content does not violate any laws or third-party rights.

7. Intellectual Property

The Services, including all software, designs, text, graphics, and other content provided by SMPLR HOA, are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our intellectual property without our express written consent.

8. Third-Party Services

The Services may integrate with or link to third-party services. We are not responsible for the availability, accuracy, or content of third-party services. Your use of third-party services is subject to their respective terms and policies.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMPLR HOA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless SMPLR HOA, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of another party.

12. Termination

Either party may terminate this agreement at any time. Upon termination, your right to use the Services will immediately cease. We may retain certain data as required by law or for legitimate business purposes. Sections that by their nature should survive termination shall survive.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
